These Vendor Terms and Conditions (“Terms”) govern the relationship between **FLOW (by Scalebound Media)** and any individual, agency, or business entity (“Vendor”) that collaborates, resells, integrates, or provides services in connection with the FLOW platform. By engaging with FLOW as a vendor, you agree to comply with these Terms. ## 1. Definition of Vendor A Vendor refers to any third party who: * Resells or promotes FLOW services * Provides onboarding, setup, or support services to clients * Integrates or builds solutions using FLOW * Works in partnership with FLOW for commercial purposes 2. Scope of Engagement Vendors may: * Offer FLOW services to their clients * Assist clients with onboarding, automation setup, and campaigns * Use FLOW platform features for business purposes However, Vendors **do not represent FLOW legally** unless explicitly authorized in writing. 3. Vendor Responsibilities Vendors agree to: * Provide accurate information about FLOW services * Not misrepresent pricing, features, or capabilities * Ensure compliance with WhatsApp and Meta policies * Maintain professionalism and ethical conduct with clients * Handle client data responsibly and securely 4. Compliance with WhatsApp & Third-Party Policies Vendors must: * Follow WhatsApp Business API policies * Avoid spam, unsolicited messaging, or policy violations * Ensure clients understand WhatsApp compliance FLOW is **not responsible** for any account bans or restrictions caused by vendor misuse. 5. Client Relationship & Liability * Vendors are independently responsible for their clients * FLOW is not liable for vendor-client disputes * Vendors must not make unauthorized commitments on behalf of FLOW 6. Payments & Revenue (If Applicable) * Any commissions, margins, or revenue-sharing (if applicable) must be agreed separately * FLOW is not responsible for payments between vendors and their clients * Vendors must ensure transparent billing practices 7. Branding & Usage Rights Vendors may: * Use FLOW branding for promotion (with approval if required) Vendors must NOT: * Claim ownership of FLOW platform * Modify or misuse branding * Present themselves as official representatives without permission 8. Data Protection & Confidentiality Vendors must: * Keep all client and platform data confidential * Not share or misuse any sensitive information * Follow applicable data protection laws 9. Platform Usage Restrictions Vendors must not: * Use FLOW for illegal, fraudulent, or unethical activities * Reverse-engineer, copy, or exploit the platform * Use the platform in ways that harm FLOW’s reputation 10. Termination of Vendor Access FLOW reserves the right to: * Suspend or terminate vendor access at any time * Restrict access in case of misuse or policy violations * Take action without prior notice if required 11. Limitation of Liability FLOW is not liable for: * Vendor business losses or client disputes * Misuse of the platform by vendors * Issues arising from third-party services (WhatsApp, Meta, etc.) 12. Modifications to Terms FLOW may update these Vendor Terms at any time. Continued engagement indicates acceptance of updated terms. 13. Governing Law These Terms shall be governed by the laws of India. Any disputes shall be subject to the jurisdiction of Lucknow. 14.
